Terms and Conditions of Service

1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Keeyo Digital Solutions Ltd, a company incorporated in Kenya and operating under the trade name MyShugli (“the Company”, “we”, “us”, or “our”), and the individual or entity accessing or using the MyShugli platform and services (“the Client”, “you”, or “your”).

By creating an account, submitting a task request, or remitting payment through the MyShugli platform, you confirm that you have read, understood, and agree to be bound unconditionally by these Terms. If you do not agree, you must cease use of the platform immediately.

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya.

3. Nature of Services

The Company provides concierge, errand, proxy, and ground-level logistics services in Kenya on behalf of clients located domestically or internationally (“Services”). The Company acts at all times as an independent contractor and agent, and not as an employee, legal representative, or fiduciary of the Client.

The Company does not guarantee any specific outcome beyond the faithful execution of the agreed task brief. The quality, availability, or suitability of any third-party goods or services procured on the Client’s behalf is entirely the responsibility of the respective third party.

4. Business Hours and Timelines

4.1 Standard Operating Hours

Our standard operational hours for ground execution are Monday to Friday, 8:00 AM to 5:00 PM (East African Time, UTC+3), excluding all Kenyan gazetted public holidays.

4.2 Out-of-Hours Premium

Tasks explicitly requested, or necessarily executed, outside standard operating hours, on weekends, or on public holidays are subject to operator availability and will attract an Out-of-Hours Premium Surcharge. This surcharge will be disclosed in full within your personalised quotation prior to payment.

4.3 Timelines

While the Company employs its best professional efforts to fulfil all tasks within agreed timelines, time shall not be of the essence. Estimated completion windows are provided in good faith and may be affected by third-party availability, traffic conditions, weather, or other factors beyond our reasonable control.

5. Proof, Documentation, and Confidentiality

5.1 Proof of Execution

Upon completion of a task, the Company will upload documented proof of execution to the Client’s private portal. This may include GPS-stamped photographs, itemised purchase receipts, written operator reports, and confirmation of delivery or completion.

5.2 Confidentiality

The Company recognises that task briefs frequently contain sensitive personal information. The Company undertakes to hold all such information in strict confidence and to use it solely for the purpose of executing the instructed task. Task details will not be disclosed to any third party except where required by law or by a competent Kenyan court order.

5.3 Portal Access and Data Security

The Client is solely responsible for maintaining the confidentiality and security of their account credentials. The Company reserves the right to suspend or terminate any account where misuse, fraudulent activity, or a breach of these Terms is suspected.

6. Prohibited Tasks and Operator Safety

6.1 Safety Override

The physical safety and security of the Company’s ground operators are of paramount importance. The Company reserves the irrevocable right to immediately halt, suspend, or cancel any task if an operator reasonably deems the environment, recipient, or situation to be unsafe or hostile. The cancellation provisions of Clause 8 shall apply in such circumstances.

7. Financial Terms: Fees, Disbursements, and Payment

7.1 Fee Structure

All payments comprise two distinct categories:

Full payment of both the Service Fee and declared Disbursement Funds is required before any task commences. Accepted methods include M-Pesa, debit card, and credit card processed through our secure payment gateway. All amounts are in Kenya Shillings (KES) unless otherwise stated.

7.3 Disputed Payments and Chargebacks

Initiating a payment chargeback without first raising the matter directly with the Company constitutes a breach of these Terms. The Company reserves the right to provide documented proof of task execution to the payment processor in defence of any chargeback claim.

8. Cancellation, Refunds, and Abandoned Goods

Undeployed Disbursement balances will be refunded within 7 working days to the original payment method, net of payment gateway processing fees.

8.3 Abandoned Goods — The Seven-Day Rule

Where goods are procured but delivery fails or the Client cancels after purchase, the Company will hold the goods for seven (7) calendar days. The Client must provide written alternative instructions within this period. Upon expiry, title to the goods is deemed forfeit and the Company may liquidate, discard, or donate them to a registered Kenyan charity without further liability.

9. Force Majeure

The Company shall not be liable for any delay or failure resulting from circumstances beyond its reasonable control, including acts of God, severe weather, civil unrest, government restrictions, road closures, power outages, or telecommunications failures.

10. Limitation of Liability

The Company’s aggregate liability in connection with any single task is strictly limited to the total Service Fee paid for that task. The Company shall not be liable for indirect, consequential, or incidental loss, or for the quality of third-party goods procured on the Client’s behalf.

11. Intellectual Property

All content on the MyShugli platform is the exclusive intellectual property of Keeyo Digital Solutions Ltd. Nothing in these Terms grants any licence to use the Company’s intellectual property without prior written consent.

12. Platform Use and Account Suspension

The Company may suspend or terminate accounts without notice where a Client breaches these Terms, provides false information, engages in abusive conduct, or attempts to circumvent the platform’s security or payment systems.

13. Dispute Resolution and Governing Law

13.1 Good Faith Resolution

Disputes should first be raised in writing to hello@myshugli.com. The Company will acknowledge within 2 business days and respond substantively within 7 business days.

13.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Kenya. Any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of the Republic of Kenya.

14. Amendments

The Company may modify these Terms at any time. The current version is published on the MyShugli platform. Continued use after any amendment constitutes acceptance of the revised Terms.

15. General Provisions

If any provision is held unenforceable, the remaining provisions continue in full force. These Terms constitute the entire agreement between the parties. No waiver is effective unless made in writing. The English language version is the sole authoritative version. The Client may not assign their rights without prior written consent.
